Found Agents Service Agreement

This Service Agreement (the "Agreement") is between Kenztara INC, doing business as Found Agents ("Found Agents," "we," "us") and the customer identified at checkout ("Client," "you"). By checking the acceptance box at checkout or on the order form, you agree to this Agreement as of that date (the "Effective Date"). That electronic acceptance constitutes your signature.

1. Services

We will design, build, host, and maintain a website for your insurance business, and publish content to it monthly, according to the plan you select:

The current deliverables list at foundagents.ai/what-you-get is incorporated into this Agreement for the plan you purchase.

2. Term, renewal, and cancellation

• Your plan begins on the Effective Date and continues for the minimum term shown above, then renews month-to-month.
• After the minimum term, either party may cancel with 30 days' written notice (email to hello@foundagent.ai is sufficient).
• If you cancel before the end of the minimum term, the monthly fees remaining in the minimum term become due at cancellation. We may waive this at our discretion in cases of hardship.
• We may terminate for non-payment (see Section 3) or material breach with 14 days' written notice and an opportunity to cure.

3. Fees and payment

• The setup fee and first month are due at checkout; the monthly fee bills automatically thereafter via Stripe.
• If a payment fails and remains unpaid for 14 days, we may suspend the website and content publication until the account is current. Suspension does not pause the minimum term.
• Fees are not refundable once the build has started, except as stated in Section 4 (pre-launch approval).

4. Build, revisions, and approval

• Your 7-day build clock starts at kickoff — when we have your logo (or wordmark direction), colors, business details, and CRM access if applicable.
• You receive a private preview and the revision rounds included in your plan (Lite: 2 during the first week; Launch and Growth: 3 before launch). A revision round is one consolidated list of changes.
• Nothing is published publicly until you approve the preview. If you choose not to launch after the included revision rounds, monthly fees pause but the setup fee is earned.

5. Your responsibilities

• Provide accurate business information, brand assets you have the right to use, and timely feedback during the build.
• Compliance review. We write Medicare-line content to CMS marketing rules (TPMO and non-affiliation disclaimers, no prohibited superlatives, no "free" characterization of $0-premium plans) and run a compliance check before publishing. You remain responsible for final review and approval of all marketing materials per your FMO, carrier, and state requirements, and for maintaining your licenses.
• Keep your payment method current and maintain access to your own CRM if leads route there.

6. Ownership

• Yours: your domain (registered in your name), your brand assets, and every article and page of content we publish for you. On cancellation you may take the domain and all content with you, and we will reasonably assist with the transfer.
• Ours: the underlying templates, code, design system, and publishing infrastructure, which we license to you for the duration of service. Canceling ends the license to the platform, not your ownership of your domain and content.

7. Disclaimers and limitation of liability

• We do not guarantee specific rankings, AI citations, traffic, or lead volumes — no honest vendor can. We build to current search and AI-visibility best practices and keep building monthly.
• Found Agents is not affiliated with or endorsed by the U.S. government or the federal Medicare program.
• To the maximum extent permitted by law, our total liability under this Agreement is limited to the fees you paid us in the 6 months before the claim arose, and neither party is liable for indirect or consequential damages.

8. General

• This Agreement is the entire agreement for the services and supersedes prior discussions. We may update it prospectively; material changes will be notified by email, and continued service after notice is acceptance.
• This Agreement is governed by the laws of the State of Utah, without regard to conflict-of-law rules, and any disputes will be resolved in the state or federal courts located in Utah.
